Merchant Terms - BharatOne Services and Affiliates Pvt. Ltd.

These Merchant Terms ("Terms") govern the onboarding, registration, access to, and use of merchant, retailer, distributor, franchise, business partner, API, white-label, and enterprise services provided through BharatOne Services and Affiliates Pvt. Ltd. ("BharatOne", "Company", "we", "our", or "us").

These Terms apply to retailers, merchants, distributors, franchise partners, agents, business correspondents, API users, white-label partners, service providers, channel partners, and all business entities utilizing the BharatOne Platform (collectively, "Merchant" or "Merchants").

By registering, onboarding, integrating with, accessing, or using the Services, the Merchant agrees to be legally bound by these Terms.

1. Platform Nature

BharatOne operates a technology-enabled digital commerce, financial services, e-governance, payment enablement, and merchant service platform that provides software solutions, APIs, payment acceptance infrastructure, ERP systems, retailer management tools, settlement systems, customer service platforms, business automation solutions, and digital distribution services.

Certain Services available through the Platform may be facilitated through licensed banks, payment system providers, regulated financial institutions, government departments, authorized technology providers, or other ecosystem partners. Additional partner-specific terms and regulatory requirements may apply.

2. Merchant Eligibility

To access Merchant Services, Merchants may be required to:

  • Complete onboarding and verification procedures;
  • Submit valid KYC and business documentation;
  • Maintain accurate business information;
  • Obtain necessary registrations, licenses, or authorizations where applicable;
  • Comply with applicable laws, RBI regulations, NPCI guidelines, government policies, and operational requirements.

BharatOne reserves the right to approve, reject, suspend, or discontinue any Merchant application at its sole discretion.

3. Merchant Services

Merchant Services may include, without limitation:

  • BBPS Bill Payments
  • Mobile & DTH Recharge
  • AEPS Services
  • Micro ATM Services
  • Domestic Money Transfer
  • UPI QR Collection
  • Payment Gateway Services
  • Merchant Collections
  • Payout Services
  • Government Services
  • PAN Services
  • Travel Services
  • Insurance Distribution
  • POS & ERP Solutions
  • API Services
  • White Label Solutions
  • Digital Commerce Solutions
  • Franchise Management Systems
  • Retail Automation
  • Customer Engagement Services
  • Other partner-enabled digital services.

Availability of Services depends upon regulatory approvals, banking partnerships, technical integration, geography, business category, operational readiness, and applicable laws.

4. Merchant Responsibilities

Merchants agree to:

  • Use the Platform only for lawful purposes;
  • Maintain accurate business information;
  • Protect login credentials, API keys, and access tokens;
  • Safeguard customer information;
  • Comply with BharatOne policies and operational guidelines;
  • Cooperate with compliance reviews and verification requests;
  • Prevent unauthorized access to Merchant systems.

Merchants remain fully responsible for all activities conducted through their employees, operators, franchisees, agents, outlets, APIs, or linked systems.

5. Prohibited Activities

Merchants shall not:

  • Engage in fraud or financial crime;
  • Conduct fake or artificial transactions;
  • Perform money laundering activities;
  • Facilitate terrorist financing;
  • Misuse customer information;
  • Bypass KYC or compliance requirements;
  • Misuse settlement or incentive programs;
  • Interfere with BharatOne infrastructure;
  • Attempt unauthorized API access;
  • Distribute malware or harmful software;
  • Violate applicable laws or regulatory requirements.

BharatOne reserves the right to immediately suspend or terminate Services where misuse, fraud, or security concerns are identified.

6. Pricing and Commercial Terms

Merchant use of the Platform may involve:

  • Onboarding fees;
  • Subscription fees;
  • Transaction charges;
  • API usage fees;
  • Software licensing charges;
  • Settlement fees;
  • Payout charges;
  • Service commissions;
  • GST and applicable taxes.

Commercial arrangements may differ depending upon Merchant category, transaction volume, negotiated agreements, service mix, promotional programs, or partner-specific pricing.

BharatOne may revise pricing upon reasonable notice.

7. Settlements and Payouts

Settlement timelines depend upon:

  • Banking systems;
  • Payment gateways;
  • NPCI;
  • Banking holidays;
  • Reconciliation processes;
  • Partner settlement cycles;
  • Regulatory requirements.

BharatOne may temporarily:

  • Delay settlements;
  • Hold payouts;
  • Restrict transactions;
  • Conduct compliance reviews;
  • Seek additional verification;
  • Suspend settlement processing

where fraud detection, AML review, reconciliation issues, legal obligations, or operational risks arise.

8. API and White Label Services

Merchants utilizing APIs, SDKs, or White Label Services shall:

  • Secure API credentials;
  • Maintain secure integrations;
  • Comply with BharatOne integration standards;
  • Implement adequate cybersecurity controls;
  • Protect customer data;
  • Comply with applicable data protection laws.

BharatOne reserves the right to impose API limits, suspend integrations, modify technical specifications, or revoke API access for security or operational reasons.

9. Customer Responsibility

Merchants remain solely responsible for:

  • Customer interactions;
  • Customer support;
  • Service fulfillment under their control;
  • Obtaining customer consent where required;
  • Product representations;
  • Dispute handling relating to Merchant-operated businesses.

BharatOne shall not be responsible for independent Merchant business activities outside the Services offered through the Platform.

10. Third-Party Services

Certain Services rely upon:

  • Banks;
  • RBI-regulated entities;
  • NPCI;
  • Payment gateways;
  • Telecom operators;
  • Utility providers;
  • Government departments;
  • Travel operators;
  • Insurance companies;
  • Technology vendors.

Service availability and transaction processing may therefore depend upon external systems beyond BharatOne's reasonable control.

11. Data Handling

Merchant usage of the Platform may involve processing of:

  • Customer information;
  • Operational records;
  • Transaction data;
  • Settlement information;
  • API logs;
  • Audit records;
  • Compliance documentation.

Merchants shall maintain confidentiality of all customer and operational information and comply with applicable data protection requirements.

Where applicable, regulated payment and customer information shall be stored and processed within India.

12. Suspension and Termination

BharatOne may suspend, restrict, or terminate Merchant access where:

  • Policy violations occur;
  • Fraud is suspected;
  • KYC becomes invalid;
  • Compliance obligations are not fulfilled;
  • Legal requirements necessitate action;
  • Operational risks arise;
  • Inaccurate onboarding information is identified;
  • Security incidents impact the Platform.

Suspension shall not affect accrued obligations or liabilities.

13. Limitation of Liability

To the maximum extent permitted by applicable law, BharatOne shall not be liable for:

  • Indirect losses;
  • Consequential damages;
  • Loss of profits;
  • Business interruption;
  • Partner downtime;
  • External infrastructure failures;
  • Settlement delays caused by banks or payment systems;
  • Regulatory actions by third parties;
  • Losses arising from Merchant negligence;
  • Unauthorized Merchant activities.

BharatOne's aggregate liability relating to any specific claim shall not exceed the amount directly paid by the Merchant to BharatOne for the affected Service during the preceding three (3) months.

14. Indemnification

The Merchant agrees to defend, indemnify, and hold harmless BharatOne, its directors, officers, employees, affiliates, licensors, partners, and service providers from any claims, liabilities, damages, penalties, costs, or expenses arising from:

  • Violation of these Terms;
  • Fraudulent activities;
  • Misuse of Services;
  • Customer disputes;
  • Data misuse;
  • Negligence;
  • Regulatory violations;
  • Unlawful conduct.

15. Amendments

BharatOne may update these Terms periodically to reflect:

  • Regulatory requirements;
  • Operational changes;
  • Pricing revisions;
  • Technology upgrades;
  • New Services;
  • Partner integrations.

Updated Terms shall become effective upon publication on the official BharatOne website or other authorized communication channels. Continued use of the Platform constitutes acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India.

Subject to applicable law, the courts having jurisdiction at Hassan, Karnataka, shall have exclusive jurisdiction over disputes arising from these Terms.
